Mark Lewis specialises in public securities and investment fund work. His fund experience includes public and private offshore corporate funds, unit trusts and limited partnerships, investing in all types of asset class.
Mark was named as a Leader in his Field by Chambers UK 2011 and Chambers Europe 2010. Chambers Global 2009 praised Mark’s “no-nonsense and practical advice”. The 2008 edition of Legal 500 UK said Mark “never fails to impress” and praised his “availability and prompt attention to business”. He was recognised as "highly recommended" for corporate/ M&A work, and “recommended” for banking in the 2009 edition of PLC Which Lawyer. The directory described Mark as enjoying “extensive market recognition for his ample knowledge of international finance and financial services regulations”. He was named for financial and corporate in the 2009 edition of IFLR1000.
Mark qualified as an English Solicitor in 1992, and re-qualified as a Jersey Advocate in 1996. He became a Partner of Appleby in 1998, and has been Group Head since 2000.
Mark is a member of the Jersey Law Society, English Law Society and the International Bar Association.
He regularly speaks at seminars and conferences, including on regulatory issues. Mark also contributes to Appleby’s Finance newsletter.
Some recent examples of work include:
• Acting for Barclays Private Bank & Trust Limited in its capacity as corporate director of certain of the companies in the Belgravia Group, giving urgent advice on the various winding up and other options available in light of the insolvency of certain of the companies. This included a consideration of director’s duties and conflicts of interests, and necessitated working closely with the Jersey Financial Services Commission as well as with the proposed liquidators.
• Acting for Alchemy Partners, a British private equity company in relation to a £90 million management buyout (MBO) of Noonan Services Group Limited, a Jersey-registered contract cleaning and facilities management group.
• Acting for Meinl European Land Limited (now Atrium European Real Estate Limited), the largest real estate investor and developer in Central and Eastern Europe on a major restructuring and investment of up to €1.85 billion by a joint venture between Citigroup and global property investor Gazit. Meinl European Land is the first Jersey unclassified fund to convert to “listed fund” status and adopt a self-managed structure.
• Advising Atrium European Real Estate Limited on a dual listing of the company’s securities on Euronext Amsterdam and the Vienna Stock Exchange, the first dual listing of this nature for a Jersey company in the alternative funds sector in Western and Central Europe.
• Acting for a Jersey headquartered investment manager on a series of fund formations, primarily private funds investing in property acquisition and development in numerous jurisdictions, including Montenegro, the Czech Republic, Panama and the US.
• Acting for Nationwide, the sponsor of the Cobbler Funding US Commercial Paper Programme in connection with its re-organisation. The Programme has a limit of US $4 billion of outstanding obligations due at any one time.
• Acting for PMM Partners LLP on the formation and launch of Phoenix Spree Deutschland Limited on the Channel Islands Stock Exchange. This was the first new fund to be formed under the new Jersey Listed Fund Guide introduced by the Jersey Financial Services Commission in February 2007.
